关于医疗器械公司上市前后法律风险的探讨
请考虑以下情形:一个年轻的公司医疗器械公司研发成功突破性的高科技产品,带 来相当大的市场轰动。辛勤的管理团队专注于繁忙的研发和营销工作,却少有时间去顾及知识产权的保护和其他法律问题。在该公司考虑通过上市或者并购而实现融资时,却遇到了意想不到的困难:他们因专利侵权和商标使用不当被起诉,核心技术人员跳槽到竞争对手那里,他们的产品被别人抄袭,而他们的公司价值由受到潜在投资人的质疑...他们应该怎样做? 又能做什么呢?

Legal Consideration for Chinese pre-IPO Medical Device Companies

Consider the following scenario: A young medical devices company has developed breakthrough technologies that deliver considerable market success. The hard-working management team has been very busy with R&D and marketing effort, but has little time to think about IP protection or other legal matters. While the company is dashing for an exit by going public or being acquired, they face unexpected difficulties: they are sued for patent infringement and trademark misuse, they are losing key personnel to competitors, their products are copied by others, and their company value is questioned by future investors... what should they do and what can be done?
This seminar is to address these issues. Fast-growing technology companies like those in the medical devices industry may not consider legal or IP issues as top priority, but they sooner or later will have to deal with them just like everyone else, especially when they have reached the milestone of exiting. Instead of taking the risk and being hammered for liability, there are ways to use legal tools to leverage, increasing company value, strengthen market position, and achieving much bigger reward towards IPO.
The presentations are intended for relatively mature companies, i.e., a company close to exit by IPO, acquisition, or other means. The talks will go over issues such as general legal precautions to take before exit, the impact of IP litigation on IPO path, effective strategies to deal with those problems, and pre-IPO IP evaluation, acquisition and transaction.
